1. Eligibility & accounts
You must be at least 16 years old and able to form a binding contract. You are responsible for your account, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
2. The Service
Business Management AI provides software for managing clients, projects, time, invoicing, documents, analytics, and an AI assistant. We may add, change, or remove features over time. We provide the Service on a multi-tenant basis; each organization’s data is logically isolated.
3. Subscriptions, billing & trials
- Paid plans are billed in advance on a recurring basis (monthly or annually) until cancelled.
- Fees are charged through our payment provider. You authorize recurring charges for your selected plan.
- Unless stated otherwise, fees are exclusive of taxes, which you are responsible for.
- Free trials (if offered) convert to paid plans unless cancelled before the trial ends.
- Cancellations and refunds are governed by our Refund & Cancellation Policy.
4. Your content
You retain all rights to the data and materials you submit (“Customer Content”). You grant us a limited license to host, process, and display Customer Content solely to provide and improve the Service. You are responsible for the legality of your Customer Content and for having the rights necessary to process your own clients’ data. Our processing of personal data on your behalf is governed by the Data Processing Addendum.
5. Acceptable use
You agree to use the Service in compliance with our Acceptable Use Policy. We may suspend or terminate accounts that violate it. Claims that Customer Content infringes a copyright are handled under our Copyright & DMCA Policy, which includes our repeat-infringer termination policy.
6. AI features
The AI assistant generates suggestions and drafts using your prompts and relevant workspace data. Output may be inaccurate or incomplete; you are responsible for reviewing it before relying on or sending it. Do not treat AI output as legal, financial, or professional advice — see our Disclaimer.
7. Intellectual property
The Service, including its software, design, and trademarks, is owned by Business Management AI and its licensors. Except for the rights expressly granted, we reserve all rights. You may not copy, modify, reverse engineer, or create derivative works of the Service.
8. Third-party services
The Service integrates with third parties (e.g. payment and AI providers). Your use of those integrations may be subject to their terms, and we are not responsible for third-party services.
9. Termination
You may cancel at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or to comply with law. Upon termination, your right to use the Service ceases; we will make Customer Content available for export for a limited period as described in our Privacy Policy.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. Additional disclaimers — including the limits of AI output and financial calculations — are set out in our Disclaimer.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUSINESS MANAGEMENT AI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. SOME U.S. STATES DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify and hold Business Management AI harmless from claims arising out of your Customer Content or your violation of these Terms or applicable law.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified via the Service or email. Continued use after the effective date constitutes acceptance.
14. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, United States of America, without regard to conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. You and Business Management AI agree to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for any dispute arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction and venue there. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction, or limits any non-waivable rights you have under the consumer-protection laws of your state of residence.
15. General
- Entire agreement — these Terms, together with the policies they reference, are the entire agreement between you and us regarding the Service.
- Severability — if a provision is held unenforceable, the rest remains in effect and that provision is limited to the minimum extent necessary.
- No waiver — our failure to enforce a provision is not a waiver of it.
- Assignment — you may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure — neither party is liable for delays caused by events beyond its reasonable control.
- U.S. export & sanctions — you may not use the Service in violation of U.S. export control or sanctions laws, or if you are located in an embargoed territory or on a restricted-party list.
- U.S. government users — the Service is “commercial computer software” under FAR 12.212 and DFARS 227.7202; government rights are those granted to all other users.
